We map the permissions the institution intends to hold against the capital that can actually support them. Advisory, underwriting, and sales and trading each carry their own capital treatment; the scope is set before the application is filed, not revised after the regulator objects.

We select the jurisdiction and licence category that matches the deal flow and counterparty base the bank will serve. Regulatory requirements, passporting rights, and the timeline to authorisation are assessed together before any commitment is made.

We design and implement the information barrier architecture and control room function that manages the flow of material non-public information across the bank’s advisory, underwriting, and trading activities. The control room is operational before any restricted information is received.

We build the deal governance structure — mandate approval, engagement letters, committee process, and commitment authority — that ensures every transaction the bank touches is approved, documented, and within the permissions it holds.

We implement the conflicts management system that identifies, records, and manages conflicts arising from the bank’s advisory, underwriting, and capital markets activities. The system is designed to produce the regulatory record the regulator expects to find on examination.

Where the bank produces investment research, we design the independence framework that separates the research function from the banking and trading businesses and satisfies the applicable research rules in the jurisdictions where research is distributed.
